THE OAKRIDGE PLAYERS
(hereafter referred to as The Players.)
The group shall be known as “The Oakridge Players”.
OBJECTS
1. The Players aim to raise awareness of, and pleasure in, the performing arts amongst the local community by;
- encouraging participation in the group
- putting on plays and holding informal events
- participating in local events and activities
- properly maintaining in good condition the “shed” (on the rear of the Oakridge Village Hall) and its contents.
- devoting the funds of the group entirely to these stated objects of the group
POWERS
The Constitution and Policies may only be amended at an AGM or extra-ordinary general meeting (EGM) called for that specific purpose.
MEMBERSHIP
1. Membership is open to anyone interested in, and supportive of, The Players
2. An annual membership fee shall be paid in advance; this shall be payable at the Annual General Meeting or as soon after as possible.
3. The annual subscription shall be determined by recommendation of the Management Committee and should be approved at each AGM.
4. Anyone joining The Players more than six months after the AGM may pay 50% of the subscription for that year only.
5. Honorary membership may be bestowed upon any member in recognition of exceptional and or long-standing contribution to The Players. Such a position may only be proposed and approved at an AGM and shall entitle the recipient to free membership for life.
6. The Management Committee reserve the right to refuse membership and to revoke membership but must explain their reasons.
MANAGEMENT OF THE OAKRIDGE PLAYERS.
The Players shall be administered by a Management Committee all of whom shall serve for one year and stand down, but may be re-elected, at the AGM.
The committee shall consist of between five and nine members, elected at the AGM.
The Committee shall comprise a Chair, Vice Chair, Secretary, and Treasurer (The Officers). The Committee may co-opt members or combine positions as required up to a total of nine members.
MEETINGS
1. The Annual General Meeting shall be held annually in January, or before 14th February each year.
2. All members shall be notified at least 14 days prior to the meeting.
3. A QUORUM for an AGM shall be eight members and must include at least two officers.
4. At the AGM minutes of the previous year’s AGM will be presented for approval.
- the Chair will present an Annual report.
, - the Treasurer will present and distribute copies of the Annual Accounts for the preceding year to December 31st.
- officers and Management Committee for the coming year shall be appointed.
Should the Committee determine the debate of other matters, the AGM should be closed, and a general meeting take place. Members should have prior notice of this together with an Agenda. Any items for discussion should be notified to the chair at least 14 days before the meeting.
5. An extra-ordinary general meeting (EGM) may be called by the Management Committee or a minimum of four ordinary members to address a specific, stated matter. The Secretary shall give all members at least 14 days notice of such a meeting, a QUORUM for which shall be eight members and must include at least two officers.
6. The CHAIR shall have the casting vote at any meeting.
7. NO PROXY or POSTAL VOTES shall be permitted for any meeting.
DISSOLUTION
1. The Oakridge Players may be dissolved only by resolution at an AGM or an extra-ordinary general meeting (EGM) called for this stated specific purpose, with all members having been given at least 14 days notice of the meeting.
2. The resolution to dissolve should be supported by at least two thirds of the members present at the meeting.
3. Any funds remaining in the name of the Oakridge Players shall in this order be used:
- to settle any outstanding debts
- to return membership fees for that current year (in full if funds allow, if not in part equally amongst members).
- be donated to a local charitable group - this is to be proposed and voted on at the meeting.
4. Any material assets of the group (props, costume, books, equipment, etc.) will be donated to any local charitable group whose activities would benefit from these. All such donations to be agreed by the Management Committee.
5. The Oakridge Players’ “shed”, attached to the rear of the Oakridge Village Hall, and erected at The Players expense in 2007, shall be emptied and passed over to the Oakridge Village Hall Trust to use as they determine.
